If I am raising $1.07M, what does my attorney have to sign off on?
The purpose of a legal review is to ensure that your offering materials are accurate and contain no errors or omissions. We realize crowdfunding is uncharted territory for many companies, so this review certifies the accuracy of your campaign materials. Your attorney can help you create your offering, provide legal advice on your capital raising strategies and marketing, and ultimately provide a stamp of approval on your campaign. If you are raising more than $107K, StartEngine requires a statement in writing from your attorney and your CEO (or acting principal), declaring his or her approval of your campaign prior to your launch. We make the process simple and provide the exact language that your legal counsel and CEO must provide. We ask that your team copy and paste the sections below, personalizing as needed. Once you have received the legal sign-off emails, simply forward them to hello@startengine.com.
- Required from Legal Counsel: “We have been engaged as counsel with respect to [COMPANY NAME’s] offering of securities pursuant to Regulation Crowdfunding. All the information that appears on [COMPANY NAME’s] profile page on the StartEngine website has been included in Company’s Offering Statement on Form C. The information on the profile page and filed on Form C complies with the requirements of Rule 201 (a) through (y) under Regulation Crowdfunding.”
- Required from the CEO (or acting principal): “I am CEO of [COMPANY NAME]. [COMPANY NAME] prepared the information that appears on [COMPANY NAME’s] profile page on the StartEngine website and [COMPANY NAME’s] Offering Statement on Form C with the assistance of counsel. The information on the profile page and filed on Form C does not include any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements made, in the light of the circumstances under which they were made, not misleading."
